These Terms of Service ("Terms") govern your access to and use of the Servicerly platform, including the website servicerly.com and all related services (collectively, the "Service"), operated by Servicerly, LLC ("Servicerly," "we," "us," or "our"). By registering for or using the Service, you agree to be bound by these Terms.

1. Eligibility

The Service is currently available only to users located in the state of Florida. You must be at least 18 years old and legally capable of entering into a binding agreement to use Servicerly. By using the Service, you represent and warrant that you meet these requirements.

2. User accounts and roles

Servicerly has three account types: Association accounts (HOA boards and condo associations primarily, as well as co-ops, CDDs, and other community association types), Vendor accounts (licensed and insured contractors and service providers), and Resident accounts (unit owners and tenants within registered communities). You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

3. Association responsibilities

Associations that register on Servicerly are solely responsible for setting and enforcing their own vendor compliance requirements, reviewing and approving or rejecting vendor applications, ensuring their requirements comply with applicable Florida law and their governing documents, and verifying the accuracy of documents submitted by vendors prior to approval.

Servicerly is a technology platform only. We facilitate document collection and provide tools for compliance management, but we do not verify the authenticity of documents, guarantee vendor performance, or assume any liability for vendor actions on association property.

4. Vendor responsibilities

Vendors using Servicerly agree to provide accurate and current business information, insurance certificates, and licensing documents; maintain valid insurance coverage and licensing throughout the period of platform membership; promptly update documents upon expiry or change; perform all work in a professional manner and in compliance with applicable Florida laws; and honor commitments made through the platform's work order and booking system.

Servicerly reserves the right to remove any vendor from the platform for misrepresentation, expired credentials, or conduct that violates these Terms.

5. Fees and payments

Association accounts are free. Vendor accounts are subject to the following fees during the beta period:

Payments are processed securely through Stripe. Fees are non-refundable except as required by law. Servicerly reserves the right to change pricing with 30 days' advance notice. Vendors who joined during the beta period and remain in good standing will retain beta pricing as long as their account remains active.

6. Prohibited conduct

You agree not to submit false, misleading, or fraudulent information; upload forged, expired, or invalid insurance certificates or licenses; contact other users outside the platform to circumvent lead fees; use the platform to harass, threaten, or harm any other user; attempt to reverse-engineer or scrape any part of the Service; or use the Service in any way that violates applicable Florida or federal law.

7. Disclaimer of warranties

The Service is provided "as is" and "as available" without warranties of any kind. Servicerly does not warrant that the Service will be uninterrupted or error-free, nor does it warrant the accuracy or reliability of any vendor credentials, community requirements, or user-submitted content on the platform.

8. Limitation of liability

To the fullest extent permitted by applicable law, Servicerly shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service, including property damage, personal injury, or financial loss resulting from vendor work performed through the platform. Our total liability to you for any claim shall not exceed the fees you paid to Servicerly in the 3 months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless Servicerly, its officers, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of another user.

10. Termination

Servicerly reserves the right to suspend or terminate your account at any time for violation of these Terms or fraudulent activity. You may close your account at any time by emailing [email protected].

11. Governing law

These Terms are governed by the laws of the state of Florida, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the courts of Florida.

12. Changes to these Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on the platform. Continued use of the Service after changes are posted constitutes your acceptance of the updated Terms.
